Marketing and communication strategy development leveraging AI. Training and support related to our AI solutions. The specific Services provided to you will be outlined in a separate agreement or order form.

3. User Accounts (If Applicable) Certain features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to keep it accurate, current, and complete. You are solely responsible for any loss or damage resulting from your failure to comply with this section. Unless otherwise stated, all fees are in United States dollars and are non-refundable. Late payments may be subject to interest charges. You are responsible for any applicable taxes.

You agree to protect the confidentiality of our proprietary information, and we agree to protect the confidentiality of your proprietary information and Your Content, using at least the same degree of care that we use to protect our own confidential information of a like nature, but in no event less than a reasonable degree of care. This obligation of confidentiality will survive the termination of these Terms or any agreement for Services. Confidential information does not include information that is publicly known, already in the receiving party's possession without obligation of confidentiality, rightfully received from a third party without obligation of confidentiality, or independently developed by the receiving party.

Disclaimer of Warranties THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. INTERACTIVEQORE AI AGENCY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTERACTIVEQORE AI AGENCY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF INTERACTIVEQORE AI AGENCY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF INTERACTIVEQORE AI AGENCY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO INTERACTIVEQORE AI AGENCY FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00) IF NO SUCH PAYMENTS HAVE BEEN MADE.

10. Indemnification You agree to indemnify, defend, and hold harmless InteractiveQore AI Agency, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

11. Termination We may terminate or suspend your access to all or any part of the Services at any time, with or without cause, and with or without notice. You may terminate your use of the Services at any time. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Assignment You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of InteractiveQore AI Agency. We may assign or transfer these Terms, in whole or in part, without restriction.
